These Terms of Service (“Terms”) apply to all services provided by SMBinfo LLC (“SMBinfo”, “we”, “us”, or “our”) to any client (“Client”, “you”, or “your”). By engaging SMBinfo, you agree to be bound by these Terms.

1. Services Provided

SMBinfo provides consulting and delivery services in three core areas:

  • HubSpot Services: implementation, audits, platform optimization, and training.
  • Digital Marketing: strategy, website development, SEO, content, email, and social media support.
  • AI for Sales and Marketing: advisory and execution on responsible, effective use of AI tools to enhance revenue operations.

The scope, timeline, and deliverables for each engagement will be set out in a written proposal or agreement.

2. Client Responsibilities

To support efficient delivery, you agree to:

  • Grant timely access to necessary platforms, tools, and information.
  • Designate a primary point of contact for coordination.
  • Provide feedback, approvals, and inputs without delay.
  • Supply any brand or marketing assets required to complete the work.

Delays in meeting these responsibilities may impact timelines or result in rescheduling.

3. Payment Terms

Unless otherwise specified:

  • Invoices are payable upon receipt, according to the terms stated in each invoice.
  • Overdue payments may result in delayed work, project suspension, or administrative fees.
  • You are responsible for all fees incurred for services rendered up to the point of cancellation or completion.

We reserve the right to halt work on any account with outstanding payments.

4. Revisions and Scope Changes

Each engagement includes a reasonable number of revisions as outlined in your proposal. Any significant changes to the original scope or timeline may require updated terms and additional billing.

5. Confidentiality

All client information shared with SMBinfo will be treated as confidential. We do not share, sell, or disclose your proprietary data, credentials, or internal content to third parties without your consent, except as required by law. With the Client’s prior authorization, SMBinfo may access the Client’s HubSpot system solely to perform agreed services, using secure, role-based methods without modifying, extracting, or retaining any Client data beyond what is necessary for the agreed to service.

6. Intellectual Property

All original materials created by SMBinfo for you become your property once all associated invoices have been paid in full. SMBinfo retains the right to reference non-confidential work in its portfolio unless otherwise requested in writing.

7. Termination

Either party may terminate an engagement with written notice. Upon termination:

  • You are responsible for payment of all services rendered and work in progress up to the termination date.
  • Any active monthly subscriptions will continue until the end of the current billing cycle and will not be refunded or prorated.
  • There will be no refunds for any unused prepaid hours or service credits.

8. Limitation of Liability

To the fullest extent permitted by law, SMBinfo shall not be liable for:

  • Indirect or consequential losses.
  • Third-party system outages or errors.
  • Any claim exceeding the fees paid to SMBinfo for the specific services in question.

No Warranties:

SMBinfo provides all services “as is” and makes no warranties, express or implied, regarding the services provided. This includes, without limitation, any implied warranties of merchantability or fitness for a particular purpose. Your sole remedy, and our sole liability, shall be your right to terminate the service with written notice, effective upon receipt by SMBinfo, to the fullest extent allowed by applicable law.

9. Use of Third-Party Tools

Where services involve platforms such as HubSpot, or other third parties, you are responsible for your accounts, subscriptions, and data. SMBinfo is not liable for third-party platform changes, downtime, or terms of service.

10. Changes to These Terms

We may revise these Terms at any time. The most current version will be posted on our website. Your continued engagement with SMBinfo after changes are published constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by and shall be construed in accordance with the laws of the State of California. Any disputes shall be resolved in the courts of California.
